We can change what you can do, or end your account, at any time, without notice or explanation. If that’s not acceptable to you, please do not use the service.

1. Acceptance of these terms

By creating an account, ticking the acceptance box at registration, or otherwise accessing or using Timely (the “service”), you agree to these Terms of Service (“terms”) in full. If you do not agree, you must not create an account or use the service. If you use the service on behalf of a business, you confirm you are authorized to bind that business to these terms.

2. The service

Timely is a tool that lets store owners record staff shifts, view who is on shift, edit shift records, and read time totals. It is offered for convenience only. We do not promise that the service will meet your needs, integrate with anything, comply with any law applicable to you, or be suitable for any particular purpose.

3. Free of charge

The service is provided free of charge. Because you pay nothing, you receive no commercial guarantees of any kind. We may introduce, change, or remove paid features in the future; nothing in these terms obligates us to keep any part of the service free, available, or unchanged.

4. Accounts & eligibility

You are responsible for everything that happens under your account and for keeping your credentials and your staff’s credentials secure. You agree to provide accurate information and to keep it current. We are not responsible for any loss arising from unauthorized use of your account, whether or not you were at fault.

5. Acceptable use

You agree not to misuse the service, including by attempting to break, overload, probe, or circumvent it; using it unlawfully; infringing anyone’s rights; or using it to monitor people without the disclosures and consents the law requires of you. You are solely responsible for ensuring that your use of the service — including any monitoring of staff — is lawful where you operate.

6. No warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the service will be available, uninterrupted, timely, secure, error-free, or that any data, time records, or totals it produces will be accurate, complete, or preserved. You use the service entirely at your own risk.

7. No liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TIMELY, ITS OPERATORS, OWNERS, CONTRIBUTORS, OR SUPPLIERS BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. This expressly includes, without limitation, any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, and any damages arising from:

  • service interruption, suspension, downtime, or permanent discontinuation;
  • loss, deletion, corruption, or inaccessibility of any data, shift records, or totals;
  • incorrect, missing, or miscalculated hours, times, or pay amounts;
  • accidents, injuries, or property damage of any kind;
  • lost profits, lost revenue, lost wages, lost goodwill, or business interruption;
  • information leaks, data breaches, unauthorized access, or disclosure of any information;
  • your account being changed, restricted, suspended, or terminated.

This applies even if we have been advised of the possibility of such damages and even if any remedy fails of its essential purpose. Where liability cannot be excluded by law, our total aggregate liability to you is limited to the amount you paid us for the service, which is zero.

8. Data, accuracy & loss

We do not guarantee that your data will be stored, retained, backed up, or recoverable, and we may delete data at any time. You are solely responsible for keeping your own independent records of anything important, including any time records you rely on for payroll. The numbers Timely displays are provided for convenience only and must not be treated as a definitive or authoritative record.

9. Changes to the service

We may add, alter, restrict, suspend, or remove any part of the service — including any feature, limit, or anything you are able or not able to do — at any time, for any reason or no reason, without notice and without liability. We may also change these terms at any time; continued use after a change means you accept the updated terms.

10. Suspension & termination

We may suspend, restrict, or terminate your account or your access to the service at our sole and absolute discretion, at any time, without notice, without explanation, and without any liability to you. We are not required to provide a reason, a warning, an appeal, or an export of your data. You may stop using the service at any time.

11. Indemnification

You agree to defend, indemnify, and hold harmless Timely and its operators from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your use of the service, your data, or your violation of these terms or of any law or third-party right.

12. Not payroll, tax, or legal advice

Timely is not a payroll provider and does not provide payroll, tax, accounting, employment, or legal advice. Any hours or totals shown are estimates for convenience. You are responsible for paying your staff correctly and for complying with all employment, wage, privacy, and recordkeeping laws that apply to you.

13. Third parties

The service may rely on third-party infrastructure and may link to third-party sites or services. We do not control and are not responsible for them, and their availability or behavior is outside our control.

14. Governing terms

If any provision of these terms is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be limited to the minimum extent necessary. Our failure to enforce any right is not a waiver of it. These terms make up the entire agreement between you and us regarding the service.
